These Terms of Service ("Terms") govern your access to and use of QuotesAgent, a sourcing platform operated by Papaya Enterprises LLC, a Delaware limited liability company doing business as "Quotes Agent" ("QuotesAgent," "we," "us," or "our"), including our website at quotesagent.com, our mobile applications, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
QuotesAgent operates a sourcing platform that helps Buyers identify, connect with, and obtain quotes from manufacturers and suppliers ("Suppliers") for the purpose of sourcing products for resale, distribution, or business use. QuotesAgent facilitates introductions, matches sourcing requests to vetted Suppliers, and, on eligible plans, provides human-assisted support to obtain sample quotes, purchase order quotes, and logistics coordination.
QuotesAgent is not a party to any purchase order, sample order, or other transaction between a Buyer and a Supplier. Any agreement to buy or sell goods that results from a QuotesAgent introduction is a direct contract between the Buyer and the Supplier. QuotesAgent does not manufacture, own, inspect, warehouse, or take title to any goods, and does not process payment for goods exchanged between Buyers and Suppliers unless expressly stated otherwise in a separate written agreement.
You must be at least 18 years old and able to form a binding contract to use the Services. You must provide accurate, current information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at hello@quotesagent.com if you suspect unauthorized use of your account.
We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or are used for purposes outside the scope of legitimate business sourcing.
QuotesAgent offers a free tier and one or more paid Subscription Plans, as described on our Pricing page. By subscribing to a paid plan and providing a payment method, you authorize us to charge that payment method on a recurring basis (monthly, unless otherwise stated) until you cancel.
Auto-renewal. Paid Subscription Plans automatically renew at the end of each billing period unless canceled prior to the renewal date. You may cancel at any time through your account settings or by contacting hello@quotesagent.com; cancellation takes effect at the end of the current billing period, and no partial-period refunds are issued except where required by law.
Price changes. We may change Subscription Plan pricing prospectively. We will make reasonable efforts to notify active subscribers of price changes affecting their plan before the next billing cycle.
Taxes. Subscription fees do not include applicable taxes, which will be added where required by law.
When you submit a sourcing request, QuotesAgent uses a combination of automated matching and, on Human-Supported plans, dedicated sourcing personnel to identify Suppliers, facilitate outreach, and pursue sample and purchase order quotes on your behalf. We make commercially reasonable efforts to obtain accurate, timely, and standardized quotes, but we do not guarantee that any specific Supplier will respond, that a quote will be obtained within any particular timeframe, or that a Supplier's pricing, capacity, or quality claims are accurate.
You are responsible for independently verifying any Supplier's suitability, including product compliance, safety, capacity, and legal authorization to manufacture and export the goods in question, before entering into any purchase order.
On Human-Supported plans, QuotesAgent may coordinate with third-party freight forwarders, 3PL partners, and customs advisors to provide quotes under various incoterms (including EXW, FOB, DDU, and DDP) and to assist with import/export questions. These third parties are independent contractors, not QuotesAgent employees, and QuotesAgent is not responsible for their acts, omissions, delays, or errors, though we will make commercially reasonable efforts to assist in resolving issues that arise.

You retain ownership of any Content you submit through the Services. By submitting Content, you grant QuotesAgent a worldwide, non-exclusive, royalty-free license to use, reproduce, and process that Content solely as necessary to operate and improve the Services, including matching your sourcing requests to Suppliers.
All QuotesAgent trademarks, logos, software, and platform content, other than Content you submit, are owned by Papaya Enterprises LLC or its licensors and may not be used without our prior written permission.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. QUOTESAGENT DOES NOT WARRANT THAT SUPPLIER INFORMATION, QUOTES, OR PRODUCT CLAIMS ARE ACCURATE, COMPLETE, OR RELIABLE, AND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOTESAGENT AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICES OR ANY TRANSACTION WITH A SUPPLIER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO QUOTESAGENT IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless Papaya Enterprises LLC, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of any law or third-party right, or any transaction between you and a Supplier.
You may stop using the Services and cancel your account at any time by contacting hello@quotesagent.com. We may suspend or terminate your account if you breach these Terms, at our reasonable discretion, with notice where practicable. Provisions that by their nature should survive termination (including Sections 9–11 and 13) will survive.
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved informally by contacting hello@quotesagent.com. If a dispute cannot be resolved informally, it shall be resolved by binding arbitration administered in accordance with the rules of a mutually agreed arbitration provider, conducted in Georgia, on an individual basis and not as part of any class or representative proceeding, except where such arbitration agreement is unenforceable under applicable law, in which case such dispute shall be brought exclusively in the state or federal courts located in Georgia.
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting a notice on the Services or updating the "Last updated" date above. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
No partnership. QuotesAgent and users of the Services are independent parties; nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
Assignment. We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our prior written consent.
Entire agreement. These Terms, together with our Privacy Policy and any Subscription Plan terms referenced on our Pricing page, constitute the entire agreement between you and QuotesAgent regarding the Services.
